General Terms and Conditions of Sale – BABETH MANAGEMENT

These General Terms and Conditions of Sale (“GTC”) apply, without restriction or reservation, to all purchases of the following services:

• Executive, team and organisational coaching;
• Consulting, audits, assistance or support in the implementation of compliance programmes relating to data protection, anti-corruption, anti-money laundering and counter-terrorism financing;
• Organisational, managerial and operational advisory services;
• Optimisation of processes and support functions.

The main characteristics of the services are presented on the website babeth-management.com. Clients are required to review them before placing an order. The choice and purchase of a service remain the sole responsibility of the Client.

These GTC are available at all times on the website and shall prevail over any other document. The Client acknowledges having read and accepted them before confirming any order.

Services are provided at the prevailing rates, expressed in euros, exclusive and inclusive of VAT. A written quotation may be issued beforehand, valid for the period specified therein.

A deposit of at least 30% of the total price is required upon order. The balance is payable upon completion of the services or in accordance with the terms set out in the quotation. This deposit shall under no circumstances be considered as a down payment (“arrhes”) under French law.

In the event of late payment, statutory penalties shall apply automatically and without prior notice. BABETH MANAGEMENT reserves the right to suspend any service until full settlement has been received.

Payment is made by bank transfer or credit card through an authorised payment service provider, using encrypted and secure transmission.

Services are performed either in person or remotely, depending on the Client’s needs. Deliverables and advisory reports are provided according to the agreed schedule.

BABETH MANAGEMENT undertakes to make every reasonable effort to perform the contracted services within the timeframe agreed, under an obligation of means.

In accordance with the French Consumer Code, the Client has a period of 14 days from the date of the order to exercise their right of withdrawal, unless an exemption applies.

The right of withdrawal may be exercised by email or postal mail addressed to BABETH MANAGEMENT at the contact details provided above. If exercised within the applicable timeframe, only the price of the services ordered shall be reimbursed, within 14 days from receipt of the notice of withdrawal.

BABETH MANAGEMENT guarantees the conformity of the services in accordance with French law. Any claim must be submitted in writing within 15 days of delivery of the services. The Client shall provide all supporting evidence.

BABETH MANAGEMENT shall not be held liable for any delay or non-performance resulting from force majeure or circumstances beyond its control. The services are provided in compliance with applicable French law. The Client is solely responsible for ensuring compliance with the laws of any other jurisdiction where the services are used.

For all information relating to the collection and processing of personal data, please refer to our dedicated Privacy and Data Protection Policy, established in accordance with the GDPR. Please note that in the event of a discrepancy, the French version of these provisions shall prevail.

These GTC and any services provided are governed by French law. In the event of a dispute not resolved amicably, the courts of Paris shall have exclusive jurisdiction.
